§ 2-266. Organization; meetings; rules of procedures; quorum; vote.

  • (a)

    The regular members of the senior advisory board shall organize and select their own officers each year. The election of officers shall take place at the regular board meeting in September. Willingness of nominees to stand for election to a board office shall be confirmed before his name is placed in nomination. Only regular members are eligible to serve as officers of the board.

    (b)

    The board shall hold regular monthly meetings except July and August and shall designate the time and place of such meetings. Board meetings may be held in July and August if deemed necessary. Board meetings shall be public in nature.

    (c)

    The regular members of the board shall adopt rules of procedure for the conduct of the board's meetings and shall keep a record of its proceedings. The attendance of at least eight members of the board, which may be a combination of regular members and alternate members, shall constitute a quorum for the transaction of business. The chair of the board shall only vote in case of a tie.

    (d)

    Alternate members shall be allowed to participate in the discussion of matters brought before the board, but shall not be allowed to vote on matters before the board except when sitting as a substitute for a regular member pursuant to subsection (e) of this section.

    (e)

    If a regular member of the board is absent from a meeting of the board, an alternate member in attendance at the meeting shall be deemed to be a regular member of the board for that meeting and shall have the right to vote on matters coming before the board at that meeting. In the event of the absence of two regular members of the board from a meeting of the board, if both alternate members are present, both alternate members shall be deemed to be regular members of the board for that meeting and shall have the right to vote on matters coming before the board at that meeting. If both alternates are in attendance at a meeting of the board and only one regular member is absent, the alternate member who has served the longest as an alternate member shall serve as the regular member for that meeting.
